If a website serves mostly as a conduit for traffic to the affiliate that pays it for referrals, and the site offers original if benign content, is it spammy?

If the site operator pays for inclusion in indexes at Yahoo, Microsoft, and other places to draw traffic and potential referrals, is it spammy?

If the publisher has indulged in some search optimization, and the content generally matches the sought-after search traffic, is it spammy?

Some online think it is. I'm not sure.
