will this link help my page rank?

I received a request for a link exchange.

I would like to know if this seems like a
reasonable exchange, and will it
help my page rank? I know almost nothing
about programming and I could use whatever
wisdom you can offer.

1. On my site, I place link exchanges (HTML Links)
one page removed from my index page.


2. The site that has linked to mine gave me the
following instructions to find my link on his site:

Step One: go to:
www.
URL.COM/other.asp?page=3&linkid=1&linkname=Business+&q=

FYI:
(this page has a category list of
21 categories, I clicked just one category named "business" (- my category - which has 324 links -15 pages of links the last having a URL page of /other.asp?page=15&linkid=1&linkname=Business+&q=)

Step two,
to find my link he suggest that I Type my URL into a Search Box. I do find My link, and it is returned
on a new page, all alone with a url of /other.asp

3. This site is a retail site, mine is a business service site, so I do understand that the link is probably not that helpful anyway. But, I would be interested in finding out what the value of having a link like this is.

In a situation like this, your decision has to come down to how much the link will (or will not) help your users.

The PR value of the link is nil, but I would still link if and only if it would provide a valuable extra resource for the users.
