Anyone Sold a Design Firm Before?
I'd like to chat with anyone here who has successfully sold a web design firm in the past.
We have a design firm with five staff and 50+ clients, and we're planning to sell.
We've sent inquiries out to several design firms that we think would be a good match for our client's needs, and two have expressed interest.
But what are the legalities, here? What are the issues we need to consider with a sale/merger?
How do you price the sale of a company like this? How do you handle the transition of power? Are non-competes required when you sell your company to another company? (Meaning, you cannot design in the same niche for the next ----- years?)
Are you required to include company equipment in the sale (computers, etc.), or just the client list?
How do you ensure a positive transition for everyone involved?

I am in a doubt, regarding the sitemap for my website. I have a Google XML Sitemap for My Website.
Recently I went through an article for the ROR sitemap, so I thought of creating the one for my website.
Here I have a question,
Can I have both the sitemaps for my website?
And is it necessary that your website should be only a product centric website (I mean consisting of buying and selling of online products) in order to have an ROR Sitemap?

Flash Discussion Forum Flash and Validation of Code Plus Useage
A little help please on a couple of questions -
Firstly I would like to add a flash banner to my site - basically as it is alot smaller than the same animated gif would be ... but when I do so using dreamweaver it adds the following line which I presume the second part of it is the "if you haven't got flash then you need to download it" and the quality + the size ...

When adding the above code to my page it no longer validates?? Is there a way round that as I don't want any invalid code on my site (just good housekeeping before I get a rant about not needing to have valid code)....
Also am I doing this right - I have steered away from flash for ages as I didnt believe I wanted anyone to have to stop when they came to my site and download flash.. however am I right in saying that 99% of people have it now and this shouldn't be a problem in adding a flash banner to my site??

I recently came across a technique that I believe could be used to trigger duplicate content penalties against almost any web site. This could, at least in theory, be used to affect a web site's rankings, either accidentally or maliciously. I would like to open a discussion on the topic to get an idea of whether such a practice would actually be effective, and if so, to try to come up with ways this technique could be detected, prevented, and recovered from.
My dilemma is that in order to discuss this technique, which would definitely be black hat, I would have to give information that would allow people to utilize the technique fairly easily. I try to be careful when describing attacks and vulnerabilities to avoid giving so much information that my posts become instruction manuals, but in this case I am not sure I would be able to discuss the issue without being so detailed.
So, what should I do? Should I post the information about this technique, which might be abused but which we might come up with a way to prevent or defend against? Or should I err on the side of caution and not post the information?
