Partnering for more site promotion? Opinions needed :).

Hello everyone. I am new to this community and would like to ask your advice. I have a community of websites that has been around for over 7 years. I don't make a huge profit from the site, but I do make more than enough to cover hosting and domains for each year through burstmedia, assorted affiliate programs, and a few private advertisers throughout the year.

I was recently invited to partner with womens forum.com, and would like to know what the pros and cons of joining a community such as this might be. Here are a few of the requirements: they will provide a contract that says I will be a partner and that they would be my exclusive ad agency of record; I would need to add a womens forum masthead at the top of my pages; and I would need to provide them with a signature to allow them to have my site traffic counted and measured by Comscore Media Metrix. This would be to get an accurate reading of my monthly unique viewers. I was told that most ad agencies will not purchase as space on a site w/o this information.

I would so much appreciate it if I could get some opinions about partnering with this particular website -- has anyone heard anything about it? Is anyone a partner? Any pros and cons about partnering in general?
