Well, I think there are a few ways to accomplish
the "look" you describe. It does matter though
how the "ads" are to be used.

Is the resulting banner ad is a part of a web page?
Is the web page html or all flash?

With an all flash page, I think it would be a simple
task.

Incorporating into an html page, you could use the
technique of having the flash ad display above
(top layer) of the html page, then onclick shrink
and fade into an existing banner on the page. I have
seen this... I just don't recall the sites.
